Welcome to Clark Supply Chain. These Terms and Conditions govern your use of our online platform and services provided by Clark Supply Chain. All payments are due as per the agreed-upon terms. Failure to make timely payments may result in the suspension of services or additional charges.

Clark Supply Chain will exercise reasonable care in providing its services. However, Clark Supply Chain shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the services; (b) any conduct or content of any third party on the services; (c) any content obtained from the services; and (d) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Our liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us for the services during the twelve (12) month period prior to any cause of action arising.

You agree to indemnify and hold harmless Clark Supply Chain, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of and access to our online platform or services; (ii) your violation of any term of these Terms; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your use of our services caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of our services.

All content, trademarks, service marks, and logos on our online platform are the property of Clark Supply Chain or its licensors and are protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any content without prior written permission from Clark Supply Chain.

7. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms and Conditions shall be brought exclusively in the state or federal courts located in Utah, and you consent to the personal jurisdiction of such courts.

We reserve the right, at our sole discretion, to modify or replace these Terms and Conditions at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the services.
